Provider Policy
Effective Date: November 29, 2025
This Provider Agreement (the "Agreement") is a legally binding contract between Servicly, Ltd. (the "Platform" or "Servicly") and the independent service provider ("Provider," "you," or "your"). This Agreement governs your access to and use of the Servicly Platform for the purpose of offering and providing services to Customers.
By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.
I. Status of the Provider
You acknowledge and agree that you are an independent contractor and not an employee, agent, partner, or joint venture of Servicly, Ltd. You are solely responsible for all matters relating to your compliance with applicable laws, including but not limited to, taxes, licenses, insurance, and professional liabilities.
You have no authority to bind Servicly to any contract, agreement, or obligation. You must not represent yourself as an employee or agent of Servicly.
II. Platform Access and Verification
1. Eligibility and Verification
To maintain a Provider account, you must:
- Be at least 18 years of age.
- Provide true, accurate, and complete registration information, including your full name, email, and verified phone number.
- Consent to and comply with all required verification processes, including but not limited to email verification, phone verification, and any future Know Your Customer (KYC) or background checks implemented by the Platform.
2. Licenses and Permits
You warrant and represent that you possess all necessary licenses, permits, qualifications, and insurance (including liability insurance, if applicable) required by the laws of the Republic of Lebanon to legally perform the Services you list on the Platform. You are responsible for maintaining these credentials throughout the duration of this Agreement.
III. Service Listings and Performance Standards
1. Accuracy and Legality of Services
You must ensure at all times:
- Accurate Representation: All Service listings must accurately describe the scope of work, pricing, duration, and required resources. Misleading, incomplete, or fraudulent listings are strictly prohibited.
- Legality: You shall only list and provide Services that are fully legal activities in the Republic of Lebanon and comply with all applicable laws.
- Quality: You must perform all Services using reasonable care, skill, and professionalism, meeting industry standards appropriate for your category.
2. Service Delivery
You are solely responsible for all aspects of Service delivery, including but not limited to:
- Communicating with the Customer regarding the Service
- Sourcing all necessary equipment, tools, and supplies
- Ensuring the safety and security of the Customer's location while performing the Service
- Managing your own schedule and availability as reflected on the Platform
IV. Financial Terms and Payments
1. Platform Revenue Model
As consideration for using the Platform to access Customers and listing services, you agree to pay Servicly subscription fees as outlined in the Platform's current pricing structure (which includes a free tier option).
2. Direct Service Payment
You acknowledge and agree that Servicly is NOT the purchaser of the Services. The Customer is solely responsible for paying you directly for the Services rendered, outside of the Platform's payment systems.
- Payment Risk: Servicly assumes no responsibility or liability for any payment issues, non-payment, or disputes arising between the Customer and you regarding the cost or payment of the Services.
- Pricing: You determine the final price for your Services and are responsible for collecting the full payment from the Customer upon completion of the Service.
3. Anti-Circumvention
You agree that any Customer introduced to you through the Servicly Platform must conduct all initial and subsequent bookings through the Platform. You shall not attempt to contact, contract with, or receive bookings from a Servicly Customer outside of the Platform to avoid the payment of subscription fees.
V. Booking, Cancellation, and Disputes
1. Booking Acceptance
You retain the sole right to Accept or Reject any booking request from a Customer. Acceptance of a booking request creates a direct contractual relationship solely between you and the Customer.
2. Cancellation Policy
You are responsible for clearly defining and enforcing your own specific Service cancellation and refund policy, which must be clearly displayed in your Service listing. Servicly is not liable for managing or processing refunds to Customers for cancelled Services.
3. Dispute Resolution
You agree to attempt to resolve all disputes with a Customer (including payment and quality issues) in good faith and directly with the Customer. If a dispute cannot be resolved, Servicly may, at its sole discretion, offer mediation, but Servicly's involvement does not constitute acceptance of any liability.
VI. Liability and Indemnification
1. Provider Indemnification
You agree to indemnify, defend, and hold harmless Servicly, Ltd., its affiliates, officers, and employees from and against all losses, damages, liabilities, and expenses (including legal fees) arising out of or relating to:
- Your breach of this Agreement or the Terms of Service
- The Service provided by you, including any bodily injury, property damage, or financial loss incurred by the Customer or any third party
- Your failure to pay applicable taxes or maintain required licenses and insurance
2. Limitation of Liability
Servicly's liability to you under this Agreement is strictly limited as set out in the Servicly Terms of Service. Servicly is not liable for the actions, omissions, or conduct of any Customer.
3. Non-Disparagement
You agree not to disparage, defame, or otherwise negatively comment on or publish material concerning the Platform, its products, services, or other Users, whether orally or in writing, in any public forum or media. This obligation shall survive the termination of this Agreement.
4. Confidentiality
You acknowledge that you may gain access to non-public information, including Customer contact details and financial information (collectively, "Confidential Information"). You agree to treat all Confidential Information as strictly confidential and shall not disclose or use it for any purpose other than fulfilling a specific Service booking initiated through the Platform.
VII. Governing Law and Termination
1. Governing Law
This Agreement is governed by and construed in accordance with the laws of the Republic of Lebanon. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the competent courts in Beirut, Lebanon.
2. Termination
Servicly may terminate this Agreement and suspend or delete your Provider account immediately and without notice if you:
- Breach any term of this Agreement or the Terms of Service
- Receive repeated poor ratings or complaints regarding the quality or legality of your Services
- Engage in any fraudulent activity or gross misconduct
VIII. Closing Provisions
1. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or additional terms published by us on the Platform, constitute the entire agreement and understanding between you and the Company regarding your use of the Platform.
2. Acknowledgment
BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
